Terms and conditions

You should read this document carefully. These Terms govern your online registration, and  participation at the Edventures GBA Virtual Expo (“Virtual Exhibition”) as an exhibitor. By registering for the Virtual Exhibition, you agree that you have read and accepted these Terms and agree to be legally bound to them. 

Part A – General

Esperanza (“organiser”, “we”, “us” and “our”) is a non profit organisation incorporated under the laws of Hong Kong Special Administrative Region.

We are organisers of the Edventures GBA Fellowship program, with the Virtual Exhibition as part of the program.

This agreement is between us and you as a representative of the Exhibitor (“you” or “your”). If you are registering on behalf of another person in your organisation, it is your obligation to make sure that the person(s) attending on behalf of your organisation is/are aware of these Terms and accept(s) them. 

These Terms contain the entire agreement between us in respect of all matters which are referred to herein and supersede any prior, written or oral agreement between us relating to such matters.

Part B – Exhibitors

Eligibility

The Organiser has the full right to determine the eligibility of the Exhibitor after reviewing the information in the registration form. 

Exhibitor Fees 

The Exhibitor’s participation  is contingent upon your having paid in full the applicable fees,  and/or extra charges incurred due to additional services selected  by you. The Exhibitor Fees will be due and payable to the Organiser:

      • Upon the Organiser’s acceptance of the exhibition registration and 
      • On or before 7 Oct 2020 (23.59 HK time)

Upon payment of the Exhibition Fees, the Exhibitor will receive the login information of the Virtual Exhibition.

Notwithstanding the above, the following two categories of exhibitors are not liable to any exhibitor fees:

      1. The 12 Fellows selected under the Edventures GBA Fellowship program
      2. Knowledge Partners of the Virtual Exhibition

Refunds and Cancellation

All Exhibitor fees are final. There will be no refunds of the Exhibitor fees even if the Exhibitor decides not to participate in any event of the Virtual Exhibition.

In the unlikely event of postponement or cancellation of a Virtual Exhibition, our total aggregate liability to you is limited to the refund of paid fees that remain after credit card and payment processing fees have been incurred and deducted. We will not be liable to you for any expenditure, damage or loss incurred by you as a result of the cancellation or postponement.

The Organiser has the right to cancel the Exhibitor’s participation and/or attendance of any Event at any time due to the breach by Exhibitor of its obligations under these Terms, or otherwise due to any act or omission or threatened act or omission, against the interests of the Organiser. The  Exhibitor shall not receive any refund of the Exhibitor Fees under such circumstances. 

The Platform

The platform through which the Virtual Exhibition is provided to the Exhibitor (the “Platform”) is operated by a third party service provider subscribed to by the Organiser (the “Platform Owner”). As between the Exhibitor and the Organiser, the Organiser owns all text, files, images, tags, links, photographs, audio, video and other content appearing on or otherwise provided through the Platform (collectively, “Content”), whether posted by the Organiser or any third party.  However, any Content uploaded or otherwise provided by the Exhibitor through the Platform (collectively, “Your Content”) shall (as between you and the Organiser) be owned by you, subject to the rights you grant to the Organiser.

Exhibitor Contents

The Exhibitor is responsible for uploading and posting information onto your virtual booth to serve the purpose of promoting your offerings. Your content shall be accurate and correct, and shall not violate the copyright, trademark, patent, privacy, intellectual property or other legal right of any third party. You shall pay for all royalties, fees and any other monies owing any person by reason of any of your content that you post to the platform. Your content may be subject to size and usage limitations, and you are responsible for adhering to any such limitations.

We do not have any obligation to review and monitor any of your content, and therefore we do not guarantee the accuracy, integrity or quality of any of your content or the content of any other person posted to the Platform.   Notwithstanding the foregoing, we have the absolute right to review, edit and remove any and all of your content  in whole or in part at our sole discretion. 

Deadline

The Organiser offers the Exhibitor the opportunity to purchase a space to promote its business. However, the Organiser is not responsible if the Exhibitor fails to deliver to the Organiser (via email or other online means) any required materials needed for such a promotion before the deadline resulting in the Exhibitor not being included in such promotion. 

Webinars 

The Organiser may offer the Exhibitor the opportunity to participate or present  in a webinar. The Organiser does not guarantee the attendance at any webinar  will be successful or beneficial to the Exhibitor. Organiser cannot guarantee that any webinar being presented to you will be held at the scheduled time.

Exhibitor’s Branding Materials

The Exhibitor hereby grants to the Organiser the right and license for the Organiser to copy, exhibit, display and generally to use the logo or other branding material as needed for your participation in the Virtual Exhibition. If the Exhibitor has not provided the Organiser in a timely fashion with the Exhibitor’s branding material regarding an upcoming promotion, the Exhibitor (a) authorizes the Organiser to copy and use Exhibitor’s branding material  found at the Exhibitor’s website and use such material in connection with the exhibition and/or promotion, or (b) acknowledges that, the Organiser may decide not to use the Exhibitor’s logo or other branding material in connection with such exhibition and/or promotion.   

Exhibitor Conduct

You should have the sole responsibility to answer enquiries and/or meet requests for meetings arising from your participation in the Virtual Exhibition in a timely and responsible manner.

You shall not use the Platform in any manner that: (a) enables you  to extract any software or source code underlying any portion of the Platform or any portion thereof;  (b)  interferes with or disrupt operations or services provided by the Platform and other Exhibitors  (c) is false, misleading, harmful, harassing, defamatory, obscene, hateful, or racially, ethnically or otherwise objectionable, (d) creates a false identity or otherwise attempts to mislead any person as to the identity or origin of any communication; (e) consists of any unsolicited or unauthorized advertising, promotional materials.

Marketing 

The Organiser may undertake publicity activities relating to the Virtual Exhibition. The Exhibitor agrees to the use of their company name, photographs and place of the registered office in any publicity materials.

Part C – Exhibitors 

Admittance to Virtual Exhibitions

We, in our sole discretion, and without any liability or obligation to refund, reserve the right to refuse admittance to the Virtual Exhibition anyone that we determine:

      • Is behaving in a manner that could disrupt, hinder or cause a nuisance to the Virtual Exhibition or to the enjoyment of any other person or partner at the Virtual Exhibition;
      • Represents a security risk to the Virtual Exhibition or to any person or partner; and/or
      • Constitute a harassment of event participants in any form, including actions or comments that are related to gender, race, sexual orientation, disability, physical appearance, or religion. 

Changes or cancellation of a Virtual Exhibition

We try to make sure that the Virtual Exhibition programmes, speakers, topics are correct at the time of publishing. Circumstances beyond our control may necessitate substitutions, alterations, postponements, or cancellations to the content, format, themes, speakers, or timing of a Virtual Exhibition.

We will endeavour to notify you as soon as reasonably practicable of any substitutions, postponements, or changes by posting the updated information on www.edventuresgba.com.

Protection of personal information

We are committed to protecting your personal information and will only use the information collected in connection with the Virtual Exhibition, its associated events and other purposes related to the Virtual Exhibition .

Warranties

To the extent permitted by the applicable law, we disclaim all warranties or conditions, either express or implied, or any part of them in respect of any aspect of the Virtual Exhibition or any related materials. You acknowledge and agree that in accepting these Terms you have not relied on any representation or warranty that is not expressly included in these Terms and you agree that you shall have no remedy in respect of any misrepresentation which has not become a part of these Terms.

Liability

You acknowledge and agree that views expressed by speakers at or in connection with the Virtual Exhibition are their own and we do not accept any responsibility or liability for any advice given or views expressed during or in connection with the Virtual Exhibition.

Materials shared or distributed at or in connection with the Virtual Exhibition are intended for information purposes only. We do not accept any responsibility or liability for any information provided at the Virtual Exhibition.

We and our related partners  shall not be liable to you for any material or immaterial loss as a result of your participation in the Virtual Exhibition. Our total aggregate liability arising under or in connection with the performance or contemplated performance of the Terms is limited to the total amount paid by you to exhibit at the Virtual Exhibition, after the payment of any processing fees or bank charges applicable.

Indemnity

You agree to defend, indemnify, and hold us, our related partners, affiliates, subsidiaries, joint ventures, third-party service providers, and our respective employees, contractors, agents, officers, and directors harmless from all claims, liability, damages, losses, costs and expenses, including legal fees, that arise out of or are related to any breach of the Terms by you or any other liabilities incurred by us arising out of your participation at the Virtual Exhibition.

Force majeure

We are not liable if the Virtual Exhibition is, in whole or in part, cancelled, rescheduled or postponed, or for any failure or delay to perform our obligations under these Terms, if such event results from anything beyond our reasonable control (for example, natural disasters, flood, fire, acts of terror, war, labour strike, extreme weather malicious damage, compliance with any law or governmental order, or mechanical, electronic or communications failure or degradation, or any other emergency) or anything else that renders performance of a Virtual Exhibition, in whole or in part, impracticable, illegal or impossible.

Governing law and jurisdiction

These Terms (whether contractual or non-contractual) shall be governed by the laws of Hong Kong Special Administrative Region.

Changes to this policy

These Terms apply to you from the date of publishing and until these Terms are superseded by a new version. The Organiser may update these Terms at any time for legal or regulatory reasons, or to reflect changes in our services.
